SCRUM ALLIANCE CREDENTIAL HOLDER AGREEMENT

This Scrum Alliance Credential Holder Agreement is entered into between Scrum Alliance, Inc., a Colorado [US] nonprofit corporation (“SAI”), and you, the individual who wishes to obtain credential and licensing rights from SAI (“You” or “Your”) as set forth herein. The Credential Holder and Member Terms and Conditions located at https://www.scrumalliance.org/certification-and-license-terms-and-conditions (the “Terms”) are hereby incorporated by reference into this Scrum Alliance Credential Holder Agreement (together with the Terms, this “Agreement”), provided that, unless otherwise expressly stated, in any conflict between the terms of this Scrum Alliance Credential Holder Agreement and the Terms, the terms of this Scrum Alliance Credential Holder Agreement shall control to the extent necessary to resolve such conflict. Any capitalized terms used but not defined herein have the meanings assigned in the Terms.
This Agreement governs each of Your Active Credentials from SAI other than certifications permitting training activities. By clicking on the button “I Accept,” You indicate that You acknowledge and accept this Agreement governing Your Active Credential(s) and Membership.
WHEREAS, SAI is a membership association and certification body offering credentials related to scrum and agile practices and the owner of the SAI Provided Content and the Licensed Materials (each as defined in the Terms);
WHEREAS, You seek to maintain, and represent that You have fulfilled all requirements in connection with, certain SAI Credentials, pursuant to the terms and conditions herein;
NOW THEREFORE, for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the Parties agree as follows:
GRANT OF LICENSE
License. Subject to the terms and conditions herein, SAI grants to You, and You accept, the non-transferrable, non-exclusive license during the Term (defined below) to use the SAI Provided Content and the Licensed Marks (each as defined below) in a manner approved by SAI solely to identify Yourself as having Your Active Credentials (the “Permitted Activities”). You agree to use the Licensed Marks in compliance with the brand guidelines located at https://partners.brand.scrumalliance.org (the “Brand Guidelines”) which may be updated, or added to, by SAI from time to time.
Territory. The territory shall be worldwide.
Permitted Activities. Subject to Your compliance with the requirements in this Agreement, (a) You may identify Yourself as having Your Active Credentials; and (b) You may use the Marks related to Your Active Credentials in Your publications, website, and in any materials that reference You solely for purposes of demonstrating Your status as a Credential holder.
Credential Fees. For certain Credential courses, Your initial credential application fee may be included in Your course fee. Your license renewal Fees and any required SEUs, where applicable, are dependent upon the applicable Scrum Alliance Credential(s) being renewed. The current Annual License Renewal Fees are located at https://www.scrumalliance.org/get-certified/seu-calculator or a successor site, as may be updated by SAI from time to time in its sole discretion. All fees are subject to change by SAI in its sole discretion at any time without notice. Payment terms are as set forth in the Terms.
Profile. As long as You are not in breach of this Agreement and remain in good standing, You are permitted to list Your profile, including biographical information, on the Scrum Alliance Sites.
REPRESENTATIONS AND WARRANTIES
Representations and Warranties. You represent and warrant that (i) You have the right, power and authority to enter into this Agreement and to perform Your obligations hereunder; (ii) at all times, the Permitted Activities and Your use of the Licensed Materials will comply with all applicable laws; and (iii) at all times, You shall comply with SAI’s Code of Ethics located at https://www.scrumalliance.org/code-of-ethics.
ADDITIONAL TERMS
Emeritus Trainers. If You are a former certified coach or trainer with SAI and have been approved in writing by SAI for emeritus status (“Emeritus”), You must adhere to any program guidelines posted on the Scrum Alliance Sites from time to time. As of the Effective Date of this Agreement, If You are approved for Emeritus status, You may not train or otherwise offer SAI Credentials or courses. If You violate the terms of Emeritus status or seek to revoke Your Emeritus status and return to full trainer or coaching status, You will be required to pay full licensing costs and reapply for SAI trainer or coach status, as applicable, or be removed from Your Emeritus status.
Amendments. SAI may amend the terms of this Agreement from time-to-time in accordance with the Terms. SAI will provide at least thirty (30) days notice of material changes.
No Assignment. This Agreement or any of the rights granted hereunder may not be assigned by You without SAI’s express written consent.
