AUTHORIZED INSTRUCTOR AGREEMENT

This Authorized Instructor Agreement is entered into between Scrum Alliance, Inc., a Colorado [US] nonprofit corporation (“SAI”), and you, the individual who wishes to obtain credential and licensing rights from SAI (“You” or “Your”) as set forth herein, as of the date You agree to this Agreement (the “Effective Date”). The Credential Holder and Member Terms and Conditions located at https://www.scrumalliance.org/certification-and-license-terms-and-conditions (the “Terms”) are hereby incorporated by reference into this Authorized Instructor Agreement (together with the Terms, this “Agreement”), provided that, unless otherwise expressly stated, in any conflict between the terms of this Authorized Instructor Agreement and the Terms, the terms of this Authorized Instructor Agreement shall control to the extent necessary to resolve such conflict. Any capitalized terms used but not defined herein have the meanings assigned in the Terms. 

This Agreement governs Your status as an authorized instructor of one or more SAI credentialed courses (an “Authorized Instructor”). By clicking on the button “I Accept,” You indicate that You acknowledge and accept this Agreement governing Your Credential(s) and Your Permitted Activities, including Your rights to train Permitted Courses and promote Your status as a Authorized Instructor.

WHEREAS, SAI is a membership association and certification body offering credentials related to scrum and agile practices and the owner of the SAI Provided Content and the Licensed Materials (each as defined in the Terms);

WHEREAS, You have completed SAI’s Authorized Instructor certification process to train certain SAI courses;

WHEREAS, SAI agrees to grant You the right to train certain SAI courses for which You have been approved to act as an Authorized Instructor, and to use the Licensed Materials, pursuant to the terms and conditions herein;

NOW THEREFORE, for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the Parties agree as follows: 

  1. LICENSE AND RIGHTS

    1. License.  Subject to the terms and conditions herein, SAI grants to You, and You accept, the revocable, limited, non-transferrable, non-exclusive license during the Term (defined below) to use the SAI Provided Content and the Licensed Marks (both defined below) to identify Yourself as having Your Active Credentials, including as an Authorized Instructor, and to train Permitted Courses from the Effective Date and for twelve (12) months thereafter via an authorized Licensed Training Partner (“LTP”). Sublicensing of Your rights hereunder is not permitted.

    2. Permitted Activities. Your Permitted Activities will be (i) identifying Yourself as having Your Active Credentials; and (ii) training Permitted Courses (as defined below). 

    3. Territory.  The territory shall be worldwide. 

    4. Permitted Courses. Subject to the terms of this Agreement, Your Permitted Activities include permission to train learners in the Credential(s) for which You have passed SAI’s applicable assessment process (“Assessment”), been approved by SAI to train, and maintain an Active Credential, for so long as you remain an Authorized Instructor (the “Permitted Courses”). You may not train SAI courses other than Your Permitted Courses.

  1. AUTHORIZED INSTRUCTOR OBLIGATIONS

    1. Requirements and Course Requirements.  SAI’s Course Requirements (collectively the “Requirements”) as of the Effective Date may be found here: https://docs.google.com/document/d/1va0k384Jagp11KaB9ZYpCgOagHUd56Evq5nzzu765Q8/edit?tab=t.0#heading=h.huh1h9oiz0tl.  You agree that You have reviewed the Requirements and that You will at all times comply fully with all Requirements.  SAI may update the Requirements from time to time.  You will have thirty (30) days from the effective date of any changes to, or new, Requirements to comply. 

    2. Quality Control.  You agree that You will use the Licensed Materials in connection with the Permitted Activities only in a manner that shall be of a consistent and high standard of quality, commensurate with the prestige of SAI and the Licensed Materials.  You shall not use the Licensed Materials in any unlawful, scandalous, defamatory or offensive manner likely to bring SAI or the Licensed Materials into disrepute, diminish SAI’s goodwill, tarnish SAI’s image or otherwise be prejudicial to SAI or the Licensed Materials. 

      1. You agree to comply with the Brand Guidelines provided by SAI and listed https://trainingpartners.brand.scrumalliance.org/ (the “Brand Guidelines”) which may be updated, or added to, by SAI from time to time. 

      2. SAI will have the right to randomly review and inspect Your Permitted Activities incorporating the Licensed Materials (including but not limited to review of student and trainer feedback, and Your compliance with this Agreement and Requirements) and You will cooperate in providing SAI access to such activities.  You agree to promptly make, at Your own cost, any modifications to the Permitted Activities incorporating the Licensed Materials that may be requested by SAI or are required to comply with the terms of this Agreement.

      3. You acknowledge and agree that You do not have the authority to grant any of SAI’s credentials, that Your students are not guaranteed to receive an SAI credential, and that You will ensure that Your advertising and marketing regarding the Permitted Activities do not misrepresent Your authority or imply otherwise. 

    3. Not Intended for Children. The Permitted Courses are intended for individuals 13 years or older, and You may not offer SAI credentials to individuals under the age of 13 or upload the personal data of individuals under the age of 13 to SAI.

    4. Fair Treatment. You must treat all students attending Your Permitted Courses fairly and equitably. You must clarify specific course and Credential requirements prior to commencement of the course and therefore have a good faith, objective, and consistent basis for failing to recommend students for the applicable Credential exam or Credential. You must use commercially reasonable efforts to accommodate students with disabilities or other reasonable requests for special accommodations. You must never act in a manner that is abusive or disrespectful to any user of any review platform. Abuse, bullying, or manipulating an independent service and product review platform will not be tolerated and may result in SAI revoking or refusing to renew Your Credential(s).

    5. Competitive Products. This Agreement is non-exclusive and does not restrict Your right to train non-SAI courses of a similar nature or subject matter to the Credentials offered by SAI (“Competing Courses”). However, when You are acting as an Authorized Instructor under Your Credential(s), You are expected to focus and prioritize Your training efforts in furtherance of SAI’s mission in order to provide an exceptional student experience. 

  1. MATERIALS

    1. SAI Provided Content. When instructing Permitted Courses, You must use the training materials provided to You by SAI, all of which shall be considered SAI Provided Content. You must use the latest version of all required SAI Provided Content in connection with each Permitted Course. You shall use the SAI Provided Content solely for the purpose of delivering courses in compliance with this Agreement and, except as otherwise approved by SAI, You shall not share the SAI Provided Content with any other person, except in a non-editable format (e.g., PDF) in the context of providing training. You may not modify or amend any SAI Provided Content except as expressly agreed by SAI in writing in advance, including using artificial intelligence tools. You may not input or upload any SAI Provided Content into any artificial intelligence system.

    2. Supplemental Materials. Without modifying or amending any SAI Provided Content, You may reasonably supplement the SAI Provided Content with additional materials that You have created and that align with the then-current applicable learning objectives and course content. In the event that You use generative artificial intelligence that can generate human-like text, images, or other media content using artificial intelligence algorithms (“Generative AI”) within any supplemental materials you create, You shall (a) include a conspicuous notice that the content was created using Generative AI; and (b) take reasonable steps to ensure that the content is complete and accurate, well-written, and free of intellectual property infringement or content that is misleading, harmful, offensive, or discriminatory. SAI reserves the right to request copies of, review, and require reasonable changes to any such supplemental materials.

  2. REPRESENTATIONS AND WARRANTIES 

    1. Authorized Instructor Representations and Warranties.  You represent and warrant that (i) You have the right, power and authority to enter into this Agreement and to perform Your obligations hereunder; (ii) at all times, the Permitted Activities and Your use of the Licensed Materials will comply with all applicable laws; and (iii) at all times, You shall comply with SAI’s Code of Ethics located at https://www.scrumalliance.org/code-of-ethics.

  3. ADDITIONAL TERMS

    1. Taxes. Each Party shall be responsible for its own taxes and related reporting obligations, including relating to sales, income, VST, GST, or otherwise. Each Party shall indemnify the other Party against any claims arising against it as a result of such Party’s failure to comply with its own tax or reporting obligations. 

    2. No Assignment. This Agreement or any of the rights granted hereunder may not be assigned by You without SAI’s express written consent.

    3. Amendments. SAI may amend the terms of this Agreement from time-to-time in accordance with the Terms. SAI will provide at least thirty (30) days notice of material changes.
